Zinifly Platform Legal Agreement

These Terms of Service ("Terms") govern your use of the Zinifly Platform ("Platform"), provided by Zinifly ("Company," "we," "our," or "us"). By creating an account, accessing, or using the Platform, you ("Market Owner," "you," or "your") agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1. Eligibility

  • You must be at least 18 years old and legally capable of entering into binding contracts to use the Platform.
  • By registering, you confirm the information provided is accurate and complete.

2. Services Provided

The Zinifly Platform provides tools for Market Owners to:

  • Create and manage market websites and events.
  • Offer event spaces, booths, and add-ons for vendors.
  • Manage vendors, artists, and sponsors.
  • Provide vendors with sub-websites and e-commerce shops.
  • Use integrated communication features, including messaging and support tickets.
  • Customize branding, domain names, and email templates.
  • Access advanced reporting and analytics.

3. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account login credentials.
  • You are responsible for all activity that occurs under your account.
  • You agree not to share or resell your account access.

4. Acceptable Use

You agree not to:

  • Use the Platform for unlawful purposes.
  • Post or distribute fraudulent, misleading, or harmful content.
  • Interfere with or attempt to disrupt the Platform's operation.
  • Violate intellectual property rights of others.

We reserve the right to suspend or terminate accounts that violate this policy.

5. Pricing & Billing

  • Use of the Platform requires payment of subscription fees, as described on our Pricing Page.
  • Fees are charged on a recurring basis (monthly or annually, as selected at checkout).
  • Payments are processed via approved third-party payment processors.

5.1 Billing Cycle

  • Subscriptions are billed in advance for each billing period.
  • If you cancel your subscription, you will continue to have access to the Platform until the end of your current billing cycle.
  • After the cycle ends, your account will be deactivated and you will no longer have access to the Platform.

5.2 Refund Policy

  • All fees paid are non-refundable.
  • If you cancel after your billing cycle has started, you will retain access until the end of the paid period but will not receive a refund for unused time.

6. Cancellation & Termination

  • You may cancel your subscription at any time through your account settings.
  • We reserve the right to suspend or terminate your access if you violate these Terms or misuse the Platform.

7. Intellectual Property

  • The Zinifly Platform, including its features, design, software, and branding, are the property of Zinifly and protected by applicable laws.
  • You may not copy, reproduce, or distribute the Platform without prior written consent.

8. Vendor & Third-Party Content

  • Market Owners are responsible for the content they upload, including vendor listings, events, and communications.
  • Zinifly is not responsible for disputes between Market Owners and vendors, sponsors, or third parties.

9. Limitation of Liability

  • The Platform is provided “as is” and “as available.”
  • Zinifly does not guarantee uninterrupted, error-free service.
  • To the maximum extent permitted by law, Zinifly is not liable for indirect, incidental, or consequential damages arising from use of the Platform.

10. Indemnification

You agree to indemnify and hold harmless Zinifly, its affiliates, and employees from any claims, damages, liabilities, or expenses resulting from your use of the Platform, your content, or your violation of these Terms.

11. Modifications

We reserve the right to modify these Terms at any time. Updates will be posted on the Platform, and continued use after changes constitutes acceptance.

12. Governing Law

These Terms shall be governed by and construed under the laws of State of Tennessee. Any disputes shall be resolved in the courts located in Wilson County Tennessee.

13. SMS Messaging Policy

By creating an account on the Zinifly platform (including any associated market or vendor site powered by Zinifly), you may choose to receive text messages (SMS) related to your account, upcoming events, vendor applications, orders, or other service updates.

Message and Data Rates

Message and data rates may apply depending on your mobile carrier and plan. Zinifly is not responsible for any fees charged by your carrier.

Message Frequency

Message frequency may vary based on your account activity, vendor or event participation, and system notifications.

Opt-Out

You may opt out of receiving SMS messages at any time by replying STOP to any text message you receive. After opting out, you will receive a confirmation message, and no further texts will be sent unless you re-subscribe.

14. Tenant Responsibilities & Vendor Oversight

As a Market Owner (“Tenant”), you acknowledge and agree that:

  • You are solely responsible for monitoring your vendors, their listings, products, services, communications, and any activity conducted through your marketplace or events hosted on the Platform.
  • You must ensure that your vendors comply with these Terms, your own marketplace rules, and all applicable federal, state, and local laws and regulations.
  • You are responsible for maintaining and enforcing clear vendor rules, including product standards, safety requirements, and compliance obligations.
  • Zinifly does not supervise, screen, validate, or guarantee any vendor, vendor product, or vendor activity, and has no obligation to do so.
  • Zinifly has no liability for vendor misconduct, illegal activity, product issues, fraud, safety hazards, licensing issues, or disputes between vendors and customers.

Failure by a Tenant to properly manage or oversee their vendors may result in suspension or termination of the Tenant’s account, at Zinifly’s sole discretion.

15. Vendor Conduct & Platform Enforcement

Vendors using any market, shop, or event system on the Zinifly Platform must comply with all applicable laws and these Terms, as well as the policies and rules imposed by the Market Owner and payment processors (including Stripe).

Zinifly reserves the right, in its sole discretion and without prior notice, to:

  • Suspend, restrict, or permanently terminate any Vendor account or Tenant account.
  • Remove, hide, or disable any content, listing, product, service, media, or website that violates these Terms, applicable law, or third-party policies.
  • Disable payment processing or payouts for any vendor, tenant, or marketplace.
  • Place holds on funds or require additional identity, business, or compliance verification.
  • Notify relevant authorities in cases involving suspected or actual illegal activity, fraud, or harm.

Any such enforcement actions may be taken where Zinifly believes, in its reasonable judgment, that your conduct or your vendors’ conduct violates these Terms, any policy of a payment processor or third party, or is harmful to users, customers, or the Platform.

16. Prohibited Products & Activities (Stripe Connect)

Zinifly uses Stripe Connect and other third-party processors to facilitate payments. Tenants and vendors must comply with Stripe’s Restricted Businesses and Acceptable Use policies, in addition to applicable laws. You may not use the Platform to sell, promote, or distribute any of the following, which are prohibited or restricted under Stripe’s rules and may not be supported on multi-vendor marketplaces:

16.1 Illegal or High-Risk Goods & Services

  • Counterfeit or unauthorized goods, including fake or replica products.
  • Stolen property or illegally imported/exported goods.
  • Products or services that enable or facilitate illegal activity.
  • Drugs, controlled substances, and drug paraphernalia where prohibited by law.
  • Unauthorized or unlicensed alcohol sales, where not compliant with applicable regulations.
  • Fireworks, explosives, or other inherently dangerous materials.
  • Toxic, flammable, radioactive, or highly hazardous materials.
  • Weapons, firearms, ammunition, gun parts, or military-grade equipment where restricted or prohibited.
  • Lock-picking devices or similar tools primarily intended for illegal entry.

16.2 Adult Content & Adult Services

  • Pornography or explicit sexual content.
  • Live adult entertainment or sexually oriented services.
  • Escort or companion services.
  • Sexually explicit products or services marketed primarily for adult entertainment.

16.3 Financial & Professional Services

  • Unlicensed money services, remittance, or currency exchange.
  • Cryptocurrency exchanges, brokers, or wallet services where not permitted by Stripe.
  • High-risk investment products, securities sales, or speculative trading schemes.
  • Debt collection agencies, credit repair, or credit counseling where restricted.
  • Payday loans, check-cashing, or high-interest lending that violates law or Stripe policies.

16.4 Gambling & Games of Chance

  • Online casinos, sports betting, or gambling websites.
  • Lotteries, raffles, sweepstakes, or contests involving entry fees and prizes where not fully compliant with law and Stripe rules.

16.5 Regulated or High-Risk Health Products

  • Prescription drugs or medical devices sold without proper authorization.
  • Unapproved or misleading health products making false or unsubstantiated claims.
  • Human organs, remains, body parts, or similar materials.

16.6 Other Prohibited Items & Activities

  • Tobacco products, vaping devices, or related paraphernalia where prohibited.
  • CBD, cannabis, THC, or related products where restricted by Stripe or law.
  • Live animals where not expressly permitted.
  • Unauthorized ticket resale or scalping.
  • Hacking tools, spyware, malware, or any software used to compromise security.
  • Fake identification documents, counterfeit licenses, or government forms.
  • Any activity or product that violates Stripe’s Restricted Businesses list or Acceptable Use Policy.

This list is illustrative and not exhaustive. Stripe and other processors may update their policies from time to time, and you are responsible for reviewing and complying with those policies. Zinifly may immediately suspend or terminate any vendor, tenant, or marketplace engaged in prohibited activities.

17. Payment Processing & Marketplace Liability

Zinifly uses third-party payment processors, including Stripe Connect, to process payments between customers, vendors, and Market Owners. By using the Platform, you agree to the applicable payment processor agreements, including the Stripe Services Agreement and Stripe Connect Agreement.

  • You authorize Stripe and other processors to process payments, hold funds, and transfer payouts in connection with your marketplace transactions.
  • Zinifly does not control and is not responsible for payment processor decisions, holds, reserves, chargebacks, or account limitations.
  • Tenants are responsible for ensuring their vendors are compliant with payment processor requirements and for resolving vendor payout issues and disputes.
  • Zinifly does not act as a bank, money transmitter, or financial institution and does not hold funds on behalf of tenants or vendors except as permitted through integrated payment services.

All financial transactions are strictly between customers, vendors, and the applicable payment processor. Zinifly is not a party to the underlying transaction between customer and vendor.

18. Marketplace Disclaimer & Allocation of Risk

You acknowledge and agree that:

  • Zinifly is not the buyer or seller of any products or services offered by vendors on your marketplace.
  • All sales, orders, and transactions occur directly between vendors and their customers, even if processed through Zinifly-integrated payment systems.
  • Zinifly does not warrant or guarantee product quality, safety, legality, availability, or fitness for a particular purpose.
  • Zinifly is not responsible for shipping, delivery, returns, refunds, exchanges, or customer service obligations owed by vendors or tenants.

To the fullest extent permitted by law, you agree that Zinifly is not liable for:

  • Vendor misconduct, fraud, negligence, or contract breaches.
  • Product defects, safety issues, injuries, or damage arising from vendor products or services.
  • Disputes between tenants, vendors, sponsors, or customers.
  • Chargebacks, declined payments, or financial losses in your marketplace.
  • Violations of law or third-party policies by you, your vendors, or your customers.

19. Additional Legal Protections for Zinifly

19.1 Right to Audit or Review

Zinifly may review or audit any tenant, vendor, or marketplace account, including content, listings, transactions, and communications, to verify compliance with these Terms, applicable law, or third-party policies.

19.2 No Guarantees of Results

Zinifly does not guarantee any particular business outcome, including sales volume, event attendance, vendor signups, or revenue. Use of the Platform is at your own risk.

19.3 Force Majeure

Zinifly will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, internet or hosting failures, or other events of force majeure.

19.4 Limitation of Damages

To the fullest extent permitted by law, Zinifly’s total aggregate liability to you for any claim arising out of or relating to the Platform or these Terms will not exceed the greater of: (a) the total amount of fees you paid to Zinifly in the six (6) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

19.5 No Legal, Tax, or Financial Advice

Information provided by Zinifly, whether through the Platform, documentation, or support, is for general informational purposes only and does not constitute legal, tax, accounting, or financial advice. You are responsible for obtaining your own professional advice regarding compliance and obligations.

19.6 Expanded Indemnification

In addition to Section 10 (Indemnification), you agree to indemnify, defend, and hold harmless Zinifly, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Platform or your marketplace.
  • Any content, products, or services offered by you or your vendors.
  • Your violation or your vendors’ violation of these Terms, applicable law, or third-party policies (including Stripe’s policies).
  • Any dispute between you, your vendors, your sponsors, and/or your customers.
